PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE VERIYOU APP.
These Terms and Conditions (“Terms”) govern your access to and use of the VeriYou mobile application and related services (the “App” and “Services”). The Services enable you to create a reusable verified identity profile for iGaming use-cases, store and present verifiable credentials and related trust signals, and share selected information with participating gaming operators and their brand groups (each a “Gaming Group”) for onboarding, re-verification, account access and compliance purposes.
By creating an account, downloading, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App.
Who we are and how to contact us

Definitions (Key Terms Used in These Terms)
“Gaming Group” means a gaming operator and its affiliated brands, group entities, and/or controlled entities that participate in the VeriYou ecosystem.
“Relying Party” means a Gaming Group entity that receives information you share through the App and uses it to make its own decisions (including compliance decisions).
“Credential” means a verifiable credential or other digitally signed claim issued to you and stored in your Wallet.
“Wallet” means the VeriYou identity wallet created in the App on your device.
“Status” means a trust indicator associated with your VeriYou profile or Credentials (e.g., verified, pending, expired, suspended, revoked, re-verification required).
What is VeriYou? (and the closed-loop scope)
Reusable identity within a Gaming Group. VeriYou is designed to allow you to verify once and reuse that verified status across brands within the same Gaming Group. In this closed-loop model, reuse is limited to the Gaming Group that you choose to connect with.
Not an open network. VeriYou does not provide a universal passport across unrelated gaming operators unless we explicitly enable that in the future and update these Terms.
Not a gambling service. VeriYou does not provide gambling services, process deposits, or operate games. Those services are provided by Gaming Groups under their own terms.
No guarantee of acceptance. A Gaming Group may still require additional checks, reject onboarding, restrict transactions, or request re-verification based on its own policies, laws, and regulatory obligations.
Eligibility
You may only use the App if:
you are at least 18 years old (or the legal gambling age where you are located, if higher);
you have the legal capacity to agree to these Terms;
you provide accurate and complete information;
you are not prohibited from using the Services under applicable laws, sanctions, or restrictions; and
you have not been suspended or banned from the App or Services.
We may refuse, suspend, or terminate access if you do not meet these requirements or if required by law, a regulator, or a Gaming Group’s risk and compliance controls.
App Stores and Device Terms
Your download and use of the App may also be subject to Apple App Store / Google Play terms. If those terms conflict with these Terms, the app store terms prevail for that conflict.
Account Creation and Wallet Security
Wallet on your device. The App creates a Wallet on your device. Depending on your device configuration, access may be protected by a PIN and/or biometrics.
You control access. You are responsible for maintaining the confidentiality and security of your device and authentication methods.
Recovery limitations. You acknowledge that Wallet recovery may be limited. If you lose access to your device or authentication factors, you may need to re-enrol and re-verify.
Accurate information. You must ensure all information provided through the App is true, accurate, and up to date.
Verification, Checks, and Ongoing Monitoring
Checks performed. To provide the Services and support Gaming Group compliance, we (and/or our service providers) may conduct identity verification and related checks, which may include document verification, biometric checks, database checks, fraud detection, risk scoring, and AML-related screening, depending on your location and the Gaming Group’s requirements.
Ongoing status. Your verification is not necessarily “one-and-done.” Your Status may change over time due to:
expiry of documents or time-based refresh requirements;
changes in fraud/risk signals;
new information received from you or permitted sources;
Gaming Group requests or regulatory requirements.
Re-verification requests. A Gaming Group may request that you re-verify or provide additional information. You may decline, but that may prevent access to the Gaming Group’s services.
Credentials, Status, and Revocation (core of Portable Trust)
Credentials and Status indicators. The Services may issue, store, and present Credentials and Status indicators that represent verification results and related trust signals.
Revocation / suspension. We may suspend, revoke, or downgrade Credentials or Status where we reasonably believe it is necessary to:
comply with law, regulation, or regulator request;
prevent fraud or misuse;
respond to security incidents;
reflect updated risk outcomes;
enforce these Terms.
Effect of revocation. If Credentials or Status are revoked/suspended/downgraded, a Gaming Group may restrict or deny access, request re-verification, or apply additional controls.
Sharing Information with a Gaming Group (Your control and consent)
You choose what to share. The App allows you to approve or deny requests from a Gaming Group to access selected Credentials or information.
Closed-loop sharing. In this model, sharing is intended for use within one Gaming Group (including its brands and group entities). You acknowledge that group entities may be located in different countries and subject to different regulatory requirements.
Once shared, a Gaming Group controls its copy. Once you share information with a Gaming Group, it may store and process it under its own privacy notice and legal obligations
Acceptable Use
You must not:
provide false or misleading information;
attempt to bypass checks, tamper with, or interfere with the App/Services;
use the Services for fraud, money laundering, or unlawful activity;
reverse engineer or exploit the App; or
use the App in a way that harms other users, Gaming Groups, or our systems.
Fees
Player fees. The App may be free to download and use. If any player-facing fees apply, we will disclose them before you incur them.
No refunds. Except where required by law, fees are non-refundable.
Privacy and Data Protection
Privacy Notice applies. Our Privacy Notice explains how we collect, use, store, and share personal information, including sensitive information where permitted by law. The Privacy Notice forms part of these Terms.
Gaming Group privacy. A Gaming Group is responsible for its own processing of your data under its privacy notice, including retention for AML and responsible gaming obligations.
Your rights. Depending on where you live (including Canada, UK/EU, California, Virginia), you may have rights to access, delete, correct, restrict, object, or port your data, as described in the Privacy Notice.
Technology Providers
Third-party technology. The Services may integrate third-party technologies and providers to deliver verification, credential, wallet, and security functions.
Teranode technology. The App includes components licensed from Teranode Switzerland AG and/or its affiliates (“Teranode”) for wallet and credential issuance/verification capabilities. Teranode provides technology; AcuityTec provides the VeriYou Services.
No responsibility for third-party outages beyond control. We are not responsible for failures caused by third-party services outside our reasonable control, but we will take reasonable steps to restore service.
Intellectual Property
We (and our licensors) own all intellectual property rights in the App and Services, excluding your personal data. You receive a limited, personal, non-transferable licence to use the App for its intended purpose.
Service Availability and Changes
We may change, update, suspend, or discontinue parts of the Services to address security, compliance, operational needs, or technology changes. We may require updates to continue using the App.
Suspension and Termination
By you. You may stop using the App at any time and request account closure as described in the Privacy Notice.
By us. We may suspend or terminate access if you breach these Terms, we suspect fraud or unlawful activity, we are required by law/regulator, or we need to protect the Services or Gaming Groups.
Effect of termination. We may retain certain records where required or permitted by law, including for fraud prevention, security, dispute resolution, or compliance.
Disclaimers
As-is and as-available. The Services are provided “as is” and “as available.”
No advice. We do not provide legal, financial, or gambling advice.
No guaranteed outcome. We do not guarantee onboarding, transaction approval, acceptance, deposit/withdrawal speed, or availability of any Gaming Group services.
Liability
Excluded losses. To the maximum extent permitted by law, we are not liable for indirect or consequential losses (including lost profits, business interruption, or reputational damage).
Liability cap. To the maximum extent permitted by law, our total liability to you for claims relating to the App or Services is limited to the greater of: (a) the fees you paid us for the Services in the 12 months before the event giving rise to the claim; or (b) CAD $100.
Non-excludable liability. Nothing excludes liability that cannot be excluded by law (e.g., fraud, wilful misconduct, or death/personal injury caused by negligence where applicable).
Gaming Group decisions. Gaming Groups make their own decisions and remain responsible for compliance outcomes, including AML/KYC and responsible gaming obligations.
Your Indemnity
To the maximum extent permitted by law, you agree to indemnify us against losses and claims arising from your misuse of the Services, unlawful conduct, fraud, or breach of these Terms.
Changes to These Terms
We may update these Terms. We will post an updated version in the App or on our website with a revised “Last Updated” date. Your continued use after changes means you accept the updated Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of Quebec and the federal laws of Canada applicable therein, and disputes shall be brought in the courts of Montreal, Quebec, unless consumer protection laws in your jurisdiction require otherwise.
